As key differentiator, Amity Innovation Incubator (AII) offers Investment Advisory Services, Private Equity Syndication, M&A, Structured Financing, Special Situations and Strategic Advisory services to corporate and investors with the help of its core team and associates.

The core team of the incubator is lead by Mr. Aseem Chauhan who has extensive experience in venture capital and leveraged buyouts and has made investments of over $500 million globally. Other members of core team bring valuable complimentary experience of Equity Research, Business Planning, Fund raising and mentoring. Some of them have been have incubated more than 50 start-ups & early stage companies and worked with Venture Capital Association.

The continuous growth in risk capital investment in India from 2.1b$(2004) to 17.6b$(2006) clearly reflects the increasing India focus and investment allocation of many VC/PE funds. AII provides a platform to facilitate PE/VC/Angels to identify fundable proposition and assist throughout the transaction. AII has access to a network of quality entrepreneur. The select companies are given strong supports to make them venture ready i.e. Investment advisory, mentoring, business advisory, IP advisory, business planning. AII has strong research capabilities and relationships which it leverages to close transactions for its clients in aggressive time frames.

Deal Identification

AII has created a strong deal flow pipeline with the help of its Associates network and intermediaries. AII currently focus on industries having a strategic growth advantage. Although our mail focus is ICT but virtually we are open to industries having strategic advantage i.e. Clean Technology, Healthcare, Media, Retail, and Real Estate. The selection of deal entirely depends upon the recommendations of the selection committee. Initially applicants are required to provide a brief profile of the proposed venture called elevator pitch to establish prima facie eligibility.

The Selection Committee evaluates the quality of entrepreneur before appraising the characteristics of the product, market or technology. Selection committee, before going for an in-depth analysis, carry out initial screening of all projects on the basis of some broad criteria i.e. technology, or product, or market scope, size of investment, geographical location and stage of financing.
It is expected the entrepreneur to have Integrity, long-term vision; urge to grow, managerial skills, commercial orientation. Final assessment of the deal is made on possible risk and return on the venture.

This phase AII develop an information memorandum, financial plan and presentation with the help of enterpreurs and make companies venture ready.
AII core team has decades of experience in developing business plans. The business plan contains detailed information about the proposed venture. The plan not only helps in making an assessment of risk but also the Return on Investment with timeframe.

Deal Syndication

AII has a powerful connect with Large VC/PE/Angel network. Core team includes former VC’s, Investment Bankers. AII is also actively interacting members of IVCA, IAN, Mumbai Angel and other dynamic VC/PE/Angel networks. AII introduces select VC’s in defined timeframe to incubate/virtual incubatees. Assistance in Deal Structuring

In this process, the venture capitalist and the venture company negotiate the terms of the deals, that is, the amount, form and price of the investment. This process is termed as deal structuring. The agreement also include the venture capitalist's right to control the venture company and to change its management if needed, buyback arrangements, acquisition, making initial public offerings (IPO’s) etc. Earned out arrangements specify the entrequreneur's equity share and the objectives to be achieved. AII helps incubatees to analyse each and every term and steps involved in the process.

Assistance in Commercial Term Sheet

In this phase, AII helps selected companies in valuation, structuring models, the term sheet, drives deal negotiations and ensures that the client enters into a term sheet which outlines all the commercial terms of the transaction.

Assistance in Transaction Closure

VCFs in India also make the risk analysis of the proposed projects which includes: Product risk, Market risk, Technological risk and Entrepreneurial risk.
